1. Acceptance of these Terms

By accessing or using ApivestAI's website, applications, or related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, and capable of forming a binding contract, to use the Service. The Service is not directed at, and we do not knowingly collect personal information from, children.

3. What ApivestAI Is — and Is Not

ApivestAI provides market data, educational content, and AI-generated analysis intended to help retail investors understand financial concepts and publicly available information.

ApivestAI is not a registered investment adviser, broker-dealer, or financial planner, and is not registered with the SEC, FINRA, or any state securities regulator.
Nothing on the Service constitutes personalized investment advice, a recommendation to buy or sell any security, or professional financial, tax, or legal advice.
Content is general and educational in nature. It is not adapted to your individual financial situation, holdings, or goals. You should consult a licensed financial professional before making investment decisions.
No fiduciary relationship is created between you and ApivestAI by using the Service.
Past performance of any security or strategy discussed on the Service is not indicative of future results.

4. AI-Generated Content

Some content on the Service (including "AI-powered insights") is generated using artificial intelligence models, including third-party AI providers. AI-generated content may be inaccurate, incomplete, or out of date, and is provided for informational and educational purposes only — it is not personalized advice (see Section 3). Data you submit in connection with AI features may be processed by third-party AI providers as described in our Privacy Policy.

5. Demo and Sample Data

Portions of the Service, including demo dashboards, may display fictional tickers and sample/mock data for illustrative purposes. Sample data is clearly not real-time or historical market data and must not be relied on as such. Where the Service displays real market data, we do not guarantee its accuracy, completeness, or timeliness, and you should verify any data point before relying on it.

6. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You must provide accurate information when creating an account and keep it up to date.
Notify us promptly at support@apivest.com if you suspect unauthorized use of your account.
We may suspend or terminate accounts that violate these Terms, as described in Section 12.

7. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose, or in violation of any applicable securities, financial, or consumer-protection law;
Scrape, crawl, or use automated means to extract data from the Service beyond what a documented API (if any) permits;
Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
Interfere with or disrupt the integrity or performance of the Service, including attempting to bypass rate limits or security controls;
Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
Use the Service to transmit unlawful, infringing, or abusive content, including once user-to-user features (e.g., the planned investor chat) are available.

8. Intellectual Property

The Service, including its design, text, graphics, educational content, and underlying software, is owned by ApivestAI or its licensors and is protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. You may not reproduce, distribute, or create derivative works from the Service's content except as expressly permitted.

9. User Content and Copyright (DMCA)

If the Service includes features that let you post, share, or transmit content (including the planned investor-to-investor chat), you retain ownership of content you submit, but grant ApivestAI a license to host, display, and transmit it as necessary to operate the Service. We respond to notices of alleged copyright infringement consistent with the Digital Millennium Copyright Act; our designated agent and takedown process are at support@apivest.com.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA OR AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APIVESTAI AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND VOLUNTEERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR ANY INVESTMENT OR FINANCIAL DECISION MADE IN CONNECTION WITH THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. APIVESTAI'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE TOTAL AMOUNT YOU PAID APIVESTAI IN THE 12 MONTHS BEFORE THE CLAIM AROSE (CURRENTLY $0, SINCE THE SERVICE IS FREE).

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above limitations may not apply to you in full.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service, with or without notice, for conduct that violates these Terms or that we believe is harmful to other users, third parties, or ApivestAI. Sections of these Terms that by their nature should survive termination (including Sections 8, 10, 11, and 14) will survive.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except to the extent a user's local law mandatorily applies (see Section 14). Any dispute arising from these Terms or the Service that is not resolved informally will be brought exclusively in the state or federal courts located in California, and you and ApivestAI each consent to the personal jurisdiction of those courts.

14. International Users

ApivestAI is based in California and controls the Service from the United States. We make no representation that the Service is appropriate or available for use in other locations. If you access the Service from outside the United States, you do so on your own initiative and are responsible for compliance with local laws. Nothing in these Terms limits any consumer protection rights you have under the mandatory law of your country of residence that cannot be waived by agreement — where these Terms conflict with such mandatory local law, the local law provision applies only to the extent required, and the rest of these Terms remains in effect.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by posting a notice on the Service or emailing registered users) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and ApivestAI regarding the Service.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
Assignment: You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets.
